NakodaX Document Protection is a Digify alternative for short deal rooms that must end cleanly. Digify offers folder and file permissions, Q&A and dynamic watermarks. NakodaX encrypts each document in your browser before upload, needs no account from guests, can share only part of a file, and closes a room on a set date, which ends every outside share at once.

A data room is only as safe as its last day. Decide what happens when it closes before you invite anyone.
A data room is only as safe as its last day.
Deals involve sensitive files: financial statements, contracts, customer lists, product plans and intellectual property. They move between your team, buyers, investors, lawyers and advisers.
Platforms like Digify have made virtual data rooms practical, with folder and file permissions, guest groups, dynamic watermarks and Q&A.
But there is a bigger question worth asking: what happens to your documents after a guest has seen them, downloaded them or forwarded them, and after the deal is over?
Controlling who sees which file is important. Protecting the actual document, and ending access cleanly, is another level of security. This is where NakodaX takes a different approach.
In this article, we compare NakodaX and Digify, their approaches to document security, their capabilities and their pricing to help you decide which solution fits your deal.
Before comparing features, it is important to understand that NakodaX and Digify have different product philosophies.
Digify: permission rich virtual data rooms.
Digify focuses on controlling who sees which file inside a room. Its capabilities include folder and file permissions, guest groups, dynamic watermarking and Screen Shield, data room Q&A, room expiry and file expiry, AES 256 encryption with an end to end passkey option, and protection after download, which is in preview. It is particularly useful for larger rooms with long guest lists.
NakodaX: document protection beyond sharing.
NakodaX approaches document security from the document itself. Instead of relying only on controlling a link to a document, NakodaX encrypts the document in the user's browser before uploading it. The encrypted version is stored, while recipients access the document through a protected viewer with permissions enforced.
Its approach focuses on browser side document encryption, protected documents that remain permission controlled, access revocation including for forwarded protected copies, expiration and viewing limits, dynamic watermarking, selective sharing of pages, slides, rows and columns, and protection for documents and media.
It also has data rooms with one NDA for the whole room, comments for questions and a closing date that ends every outside share at once.
The fundamental difference: Digify helps you control who sees what while the room is open. NakodaX helps you maintain control over the document itself, and end access cleanly when the deal does.
Comparison based on product capabilities and publicly available information. Features may vary by subscription, configuration and supported file type.
| Capability | NakodaX | Digify |
|---|---|---|
| Secure data rooms | Yes | Yes |
| Different files for different guests | One published set for every guest. For a different cut, send that guest their own share | Folder and file permissions, guest groups |
| NDA before guests see files | One NDA for the whole room, signed once per person | Custom terms of access |
| Questions from guests | Comments in rooms, from Essential | Q&A, on Team and up |
| Dynamic watermarking | Yes | On Team and up |
| Control over forwarded protected copies | Yes | Persistent protection after download, in preview |
| End of the deal | A closing date ends every share, then files are deleted after retention | Room expiry and file expiry |
| Browser side encryption before upload | Yes | AES 256, with an end to end passkey option |
| Selective page and content sharing | Yes | Different sharing and document controls |
| Where it runs | In the cloud, or on your own servers | In the cloud |
Let's consider a practical example. Your company opens a data room for a buyer. For three weeks they read your files, download some and forward others to their advisers. Then the deal falls through, and you decide nobody should be able to open those files any more. What happens next?
With Digify: Digify gives you room expiry and file expiry, permissions and watermarks. However, if a guest has already downloaded a regular, readable copy, ending the room does not make that downloaded file unreadable, unless its protection after download feature applies.
With NakodaX: NakodaX protects each document before it is uploaded. The data room has a closing date that is checked every time anyone opens a file, and when it passes every outside share ends. Notices go out 7, 3 and 1 day before. See the deal that fell through. A forwarded copy of a protected file has to ask for approval before it opens, and after retention the files are deleted while the NDAs, signatures and activity stay as your record.
This is an important difference. Instead of relying only on room settings, NakodaX extends access control to the protected document.
One of NakodaX's key architectural differences is browser side encryption.
Digify lists AES 256 encryption and an end to end passkey option.
NakodaX takes a different route. The document is encrypted directly inside the user's browser before it is uploaded. This means the readable document stays on the user's device during the encryption process, NakodaX stores the encrypted version, the document is opened through a protected viewing process, and access permissions are managed separately from readable document content.
This architecture is particularly relevant to businesses handling confidential financial information, intellectual property, legal documents and sensitive commercial records. The objective is simple: reduce the number of systems that have access to readable versions of your confidential documents.
Security products often become expensive as businesses move beyond basic sharing requirements.
NakodaX follows a different philosophy. We believe document protection should be accessible to individuals, startups, consultants and growing businesses, not just large enterprises.
NakodaX offers three straightforward pricing options:
| Plan | Price |
|---|---|
| Free | $0 |
| Essential | $4.99 a month |
| Pro | $19.99 a month |
You can start with the free plan, understand how document protection works and upgrade when your requirements grow. There is no need to begin with an expensive enterprise commitment just to protect confidential business documents.

Digify is a good fit for deals that need fine control over who sees which file. Consider Digify if your requirements include different files for different guests across a long guest list, folder and file level permissions and guest groups, Q&A and editing with Microsoft Office on its Team plan, SSO and an API, and a vendor that states ISO 27001.
Digify has an established proposition in these workflows, and its permission controls are a particular strength.
NakodaX is designed for deals that must end cleanly. Consider NakodaX if your requirements include protecting confidential business documents before they leave your device, revoking access even after protected documents have been downloaded or forwarded, controlling how long a recipient can access a document, limiting viewing and applying dynamic watermarks, sharing only selected pages, slides, spreadsheet rows or columns, reducing exposure of readable documents to third party systems, and protecting sensitive documents without expensive enterprise pricing.
NakodaX is particularly relevant for teams running short deals and due diligence, and for government and enterprise teams that cannot use a hosted room and need NakodaX on their own servers, inside their network, even offline.
For years, businesses have focused on securing where their documents are stored. They have invested in cloud storage, passwords, access permissions, sharing links and enterprise security policies. These controls are necessary.
But documents are valuable because of the information they contain, not because of where they are stored.
A document can be forwarded. A business relationship can end. An employee can leave. A proposal can become outdated. A vendor can retain information long after a project is complete.
The ability to control access beyond the original sharing link is an important additional layer of protection. That is the idea behind NakodaX. We believe businesses should have more control over their confidential information, even after it has been shared.
Your document. Your rules. Your control.
You don't need to change your entire document sharing workflow to start thinking differently about document security. Start protecting the documents that matter most.
With plans starting free and paid options from just $4.99 a month, NakodaX makes document protection accessible to businesses of every size. Protect your competitive advantage. Get started with NakodaX.
NakodaX does not stop screenshots or photos of a screen. The watermark on documents is a deterrent, and the media player has neither a watermark nor copy blocking. It cannot take back what someone has already read or remembered.
