Fundraising requires sharing sensitive documents widely. Define who can open them and when that access should end.

Protected access can be changed after a fundraising decision. It is not a guarantee that someone cannot retain what they were allowed to see.
Fundraising asks founders to share the deck, financial model, cap table, contracts, and sometimes a term sheet with many people who will not become investors.
That is part of moving quickly. The difficult question is what happens to the copies after a firm passes or the round closes.
Secure document sharing for fundraising and legal work needs more than a data room. A data room governs entry and can show activity. Once an ordinary document is downloaded, that copy is no longer governed by the room's door.
The business need is broader: make sensitive material available during the process, then be able to change future access when the process changes.
Protect the documents that need continued control and set access for the intended recipients. When a firm passes, the sender can revoke the protected access associated with that recipient. When the round closes, access can be reviewed again.
This does not stop someone from retaining notes, screenshots, or exported information they were permitted to see. It reduces the routine persistence of the protected document itself.
Legal negotiations, licensing discussions, regulatory filings, and transaction diligence share the same shape: sensitive documents must move for a bounded period between parties with different interests.
The right question is not whether sharing happens. It is whether access can end when the reason for sharing ends.
A fundraising process should not force a choice between slow, guarded disclosure and unrestricted files. A clear recipient and access decision lets the process remain practical while giving the sender a defined control later.
Share fully for the process. Review and end protected access when the process is over.
