Board papers, six directors, six devices
Board packs go to personal devices and outside advisers. Make access match the director's role and the life of the matter.
Board materials need easy access for authorized readers and a practical way to end that access later.

The board pack contains financials, strategy, personnel matters, and risks the company has not announced. It also goes to personal laptops, phones, tablets, and sometimes advisers.
That is normal board work. It is not a reason to leave every historical pack permanently accessible.
Directors are not employees
Directors need access on their own devices. They rotate off, sit on other boards, and may work with assistants or advisers. A company cannot manage the relationship as if every reader has a corporate laptop.
A portal can help at the point of entry, but a downloaded ordinary copy creates a different access problem.
What good looks like
Board document security means the right director can open the right pack, and nobody else can, for as long as the company intends. Board materials should be usable for a current director with the appropriate access, and the company should be able to change that access from one place when a director leaves, a matter concludes, or a pack is superseded.

Keep the policy simple

Watermarks can deter and attribute leaks, but they do not stop a screen or a printer. The useful control is making future access depend on a permission the company can change.
